About these terms

These terms cover your use of the Lumiist website and app (the "Service"). Lumiist is a trading name of Jodie Bush, a sole trader. In these terms, "Lumiist", "we" and "us" mean Jodie Bush trading as Lumiist, and "you" means the person or business using the Service.

By creating an account or using the Service, you agree to these terms. If you do not agree, please do not use the Service.

The Service

Lumiist helps businesses create branded quotes, invoices and receipts, share them with their clients through a client page, and get paid. We may add, change or remove features over time. If we remove something important to a paid plan, we will tell you in advance.

Lumiist is for business use. If you use it as a consumer, nothing in these terms affects your statutory rights.

Your account

• You must be at least 18 and able to agree to these terms on behalf of your business
• The details you give us must be accurate and kept up to date
• You are responsible for keeping your sign-in secure and for everything done through your account, including by people you invite to your team
• Tell us straight away at info@lumiist.com if you think someone else has used your account

Plans and billing

• Free plan: free to use within the limits shown on our pricing page
• Paid plans: Starter and Growth are billed monthly or yearly, in advance, through Stripe. Prices are shown on our pricing page and at checkout
• Renewal: paid plans renew automatically at the end of each period until you cancel
• Cancelling: you can cancel at any time from Manage billing. Your plan stays active until the end of the period you have paid for, and is not charged again
• Changing plan: upgrades start straight away and you pay the difference for the rest of the period. Downgrades take effect at the end of the period you have paid for
• Refunds: payments are not refunded for part-used periods, unless the law requires it or we agree otherwise
• Price changes: we will give you at least 30 days' notice by email before a price change affects you, so you can cancel first if you wish
• Taxes: prices may include or have added any taxes that apply where you are, as shown at checkout

Card payments from your clients

If you turn on card payments, your clients can pay your invoices by card through Stripe. To use this:

• You set up your own Stripe account and agree to the Stripe Connected Account Agreement. Stripe decides whether to approve your account
• Your clients' payments go into your Stripe account, not to us
• Stripe's own fees apply. Lumiist also takes a fee on each card payment, deducted automatically: 1% on the Free plan, 0.5% on Starter and nothing on Growth
• You are responsible for refunds, disputes and chargebacks with your clients, which you manage in Stripe. A refund made in Stripe does not update the invoice in Lumiist, so please update it yourself

Your content and your clients' information

You own everything you put into Lumiist, including your logo, brand details, services, documents and client list. You give us permission to store and use it only to provide the Service to you.

When you add your clients' details, you must have a lawful reason to do so under data protection law. We handle that information on your behalf, as described in our Privacy Policy.

Documents we write for you

Lumiist writes document and service text from the details you give us. Please check every document before you send it, including prices, tax, dates and terms. We are not responsible for errors in documents you send, and nothing Lumiist writes is legal, tax or financial advice.

Acceptable use

You must not use the Service to:

• Create documents that are fraudulent, misleading or illegal, or send them to anyone who has not done business with you
• Upload content you do not have the right to use
• Copy, scrape, reverse-engineer or resell the Service
• Interfere with the Service, its security or other users
• Access the Service by automated means without our written permission

Availability

We work to keep Lumiist running smoothly, but we cannot promise it will always be available or free of errors. We may need to pause it for maintenance or updates. Please keep your own copies of important documents.

Ending your use

You can stop using Lumiist at any time and ask us to delete your account, as explained in our Privacy Policy. We may suspend or close an account that breaks these terms, puts others at risk or has not paid. Where reasonable, we will warn you first and give you time to download your documents.

Our intellectual property

The Lumiist software, design, name and logo belong to us. These terms do not give you any rights to them, other than to use the Service as described here.

Our liability

The Service is provided "as is". To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, lost business or lost data. Our total liability to you for any claim is limited to the amount you paid us in the 12 months before the claim.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Changes to these terms

We may update these terms from time to time. When we do, we will change the date at the top of this page, and if the change is significant we will tell you by email at least 30 days before it takes effect.

Governing law

These terms are governed by the law of England and Wales. Any dispute will be dealt with by the courts of England and Wales.
